Terms & Conditions

1. Definitions:

“Agency” means Premier Home Help Company Limited – company number 09436677.

“Applicant” means the person introduced by the Agency to the Client for an Engagement.

“Client” means the person that has retained the Agency to introduce the Applicant.

“Engagement” means the engagement, employment or use of the Applicant by the Client on a permanent or temporary basis.

“Introduction” means (i) the Client’s interview of an Applicant in person or by telephone, following the Client’s instruction to the Agency to search for an Applicant; or (ii) the passing to the Client of a curriculum vitae or information which identifies the Applicant; and which leads to an
Engagement of that Applicant;

“Remuneration” includes base salary or fees, guaranteed and/or anticipated bonus and commission earnings, allowances, inducement payments, the benefit of a company car and all other payments and taxable (and, where applicable, non-taxable) emoluments payable to or receivable by the Applicant for services rendered to the Client.

2. The Contract

2.1 These Terms and Conditions constitute the contract between the Agency and the Client and are deemed to be accepted by the Client when following the receipt of these Terms and Conditions the Client continues with its instructions to the Agency to effect an Introduction.

2.2 These Terms and Conditions contain the entire agreement between the parties and unless otherwise agreed in writing by Debra Fenton, the managing director of the Agency, these terms of business prevail over any other terms of business or purchase conditions put forward by the Client.

3. Notification and fees

3.1 The Client agrees:
(a) To notify the Agency immediately of any offer of an Engagement which the Client makes to an Applicant;
(b) To notify the Agency immediately after its offer of an Engagement to an Applicant has been accepted and to provide details of the
Remuneration to the Agency; and

3.1 Permanent Live in: The Agency’s fee for permanent placements shall be calculated as 5 weeks net salary + VAT

3.1a Permanent Placement Live Out: The Agency’s fee for permanent placements shall be calculated as 4 weeks net salary + VAT

3.2 Part time under 30 hours: Any permanent placement 30 hours and under is deemed as part time and will be charged at 3 weeks net salary + VAT.

3.3 The Agency’s fee for trial placements shall be £100 + VAT per 5 working day week (or part thereof) for full time placements ie: 25 hours and below and £50 + VAT per week (or part thereof) for part time. If the applicant works over 5 days there will be an extra £20 per extra day worked plus VAT.
The client is able to trial the candidate for up to 8 weeks
The monies paid will be deducted after the 8 weeks from your final invoice. Clients are invoiced on every Thursday for 8 weeks with the understanding that the invoice is paid by the following Wednesday.
If the candidate leaves within the 8 week period, and the client uses another candidate from Premier Home Help within 4 weeks the monies spent from the trial period will be put towards the new applicant.
If the client does not settle the weekly invoice on time for 2 consecutive weeks, the agency reserves the right to send a full invoice to the client as they have not kept to the terms of the contract.

3.3a Temporary Help: The Agency’s fee for temporary placements period shall be £100 + VAT per 5 working day week (or part thereof) for full time placements ie: 25 hours and below and £50 + VAT per week (or part thereof) for part time. If the applicant works over 5 days there will be an extra £20 per extra day worked plus VAT

3.4 No fee is incurred by the Client until an Applicant accepts the offer of the above arrangement, when the Agency will render an invoice to the Client for its fees.

3.5 For avoidance of any doubt if the Client registers a vacancy for a certain amount of working hours, and after introduction of an Applicant by the Agency, the Client subsequently reduces the requested hours, the fee to the Agency will be payable by reference to the original requirement.

3.6 If the Client engages the Applicant within 12 calendar months of an Introduction, the Agency’s full fee will be charged.

3.7 If during the Introduction process or within 12 months from the Engagement Date, the client’s requirements change from full time to part time or from permanent to temporary position, the client is liable to pay a fee charged by reference to the original requirements.

4. Trials/Interviews
The Agency recommends all Clients and Applicants to have a trial before making their final decision. The Agency provides three free day trial days per candidate (the Applicant should be paid directly for their time during a trial).
After the third day trial, the client will contact the agency and inform them if they wish to prolong the trial period. Following the trial period by paying the temporary fee( see 3.3) which will be deducted from their final invoice. If the applicant works for the client any time after the 3 day trial period, the client will be invoiced for temporary cover (see 3.3)
This payment scheme is offered on the understanding that the client pays promptly each week. The agency reserves the right to suspend the candidate working for the client if the invoice is not settled.

5. Cancellation fee

5.1 If, after an offer of Engagement has been made to the Applicant, the Client decides for any reason to withdraw it, the Client shall be liable to
pay the Agency a fee of £200, and, if the withdrawal is received less than 7 calendar days prior to commencement of the Engagement, the Client shall be liable to pay the Applicant’s salary for the first week and 50% of the Agency’s fee.

6. Third parties
The disclosure by the Client to a third party of any details regarding an Applicant introduced to the Client by the Agency which results in employment of that Applicant by that third party within 12 months of the Introduction renders the Client liable to payment of the Agency’s fee with no entitlement to any refund.

7. Suitability and References

7.1 The Client shall satisfy itself as to the suitability of the Applicant and the Client shall take up any references provided by the Applicant to it or the Agency before engaging such Applicant.

7.2 The Client is responsible for obtaining a work permit and/or such other permission to work as may be required to employ the Applicant lawfully.

8. Liability

8.1 The Agency shall not be liable under any circumstances for any loss, expense, damage, delay, costs or compensation (whether direct, indirect or consequential) which may be suffered or incurred by the Client arising from or in any way connected with the Agency seeking an Applicant for the Client or from the Introduction to or Engagement of any Applicant by the Client or from the failure of the Agency to introduce any Applicant.
For the avoidance of doubt, the Agency does not exclude liability for death or personal injury arising from its own negligence.

8.2 The Client is responsible for ensuring that their insurance includes cover for Employers and Public Liability insurance for domestic workers or/and childcarers.

9. Law
These Terms are governed by the law of England & Wales and any disputes arising are subject to the exclusive jurisdiction of the Courts of England & Wales.
